  1.                 SOFTWARE LICENSE AGREEMENT OF

  6. SIGMA TECH CORPORATION ("LICENSOR") IS WILLING TO LICENSE THE 
  7. ACCOMPANYING SOFTWARE TO YOU ONLY IF YOU ACCEPT ALL OF 
  8. THE TERMS IN THIS LICENSE AGREEMENT. PLEASE READ THE TERMS 
  9. CAREFULLY BEFORE YOU INSTALL THE SOFTWARE, BECAUSE BY
  10. INSTALLING THE SOFTWARE YOU ARE AGREEING TO BE BOUND BY THE
  11. TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS,
  12. LICENSOR WILL NOT LICENSE THIS SOFTWARE TO YOU, AND IN THAT
  13. CASE YOU SHOULD IMMEDIATELY DELETE ALL COPIES OF THIS
  14. SOFTWARE YOU HAVE IN ANY FORM.

  17. OWNERSHIP OF THE SOFTWARE
  18.  
  19. 1.   The enclosed Licensor software program ("Software") and
  20.   the accompanying written materials are owned by Licensor or
  21.   its suppliers and are protected by United States copyright
  22.   laws, by laws of other nations, and by international
  23.   treaties.

  26. GRANT OF LICENSE
  27.  
  28. 2.   If you have purchased a per copy license to the Software,
  29.   Licensor grants to you the right to use one copy of the
  30.   Software on a single computer. Group programming projects
  31.   making use of this software must purchase a copy of the 
  32.   software and documentation for each member of the group.
  33.   Contact Sigma Tech Corporation for volume discounts and site
  34.   licensing agreements.

  37. 3.   If you have not yet purchased a license to the
  38.   Software, Licensor grants to you the right to use one copy
  39.   of the Software on a single computer for an evaluation
  40.   period of 30 days.  If you wish to continue using the
  41.   Software and accompanying written materials after the
  42.   evaluation period, you must register the Software by sending
  43.   the required payment to Licensor. You will then receive a
  44.   license for continued use and a registration code that will
  45.   permit you to use the Software free of payment reminders.
  46.   The Software may come with extra programs and features that
  47.   are available for use only to registered users through the
  48.   use of their registration code.

  51. RESTRICTIONS ON USE AND TRANSFER
  52.  
  53. 4.   EVALUATION VERSION.
  54.   You may distribute the EVALUATION VERSION of the Software
  55.   and accompanying materials to others so long as all the files
  56.   comprising the Software and accompanying written materials
  57.   are passed to the user without modification and that a clear
  58.   statement is made to the receiver of the distribution that
  59.   you are in no way transferring or assigning rights to the
  60.   Software.  The Licensor may revoke the right to distribute
  61.   the Software at any time, with or without cause, by giving
  62.   30 days written notice to the distributor.

  64. 5.   REGISTERED VERSION.
  65.   You may distribute, without runtime fees or further licenses,
  66.   your own compiled programs based on the Software. Notwith-
  67.   standing other restrictions, you may NOT distribute the
  68.   REGISTERED version of the Software source code, or compiled
  69.   units except USPL.DLL and CW3230.DLL without written permission
  70.   from Sigma Tech Corporation.

  72. 6.  Note that the previous restrictions do not prohibit you
  73.   from distributing your own source code, units, or components
  74.   that depend upon the Software. However, others who receive
  75.   your source code, units, or components need to purchase their
  76.   own copies of the Software in order to compile the source code
  77.   or to write programs that use your units or components.

  79. 7.  Sigma Tech Corporation authorizes you to make archival copies
  80.   of the Software for the sole purpose of back-up and protecting
  81.   your investment from loss. Under no circumstances may you copy
  82.   this software or documentation for the purposes of distribution
  83.   of the REGISTERED version to others. Under no conditions may
  84.   you remove the copyright notices made part of the Software or
  85.   documentation.

  87. 8.   You may make printed copies of the written materials
  88.   accompanying Software provided that they used only by users
  89.   bound by this license.

  91. 9.   You may not distribute or transfer your registration
  92.   code or transfer the rights given by the registration code.

  94. 10.  You may not rent or lease the Software or otherwise
  95.   transfer or assign the right to use the Software.
  96.  
  97. 11.  You may not reverse engineer, decompile, or disassemble
  98.   the Software.

  100. 12.  The attached VENDIFO data record is hereby incorporated
  101.   by references. Any distribution satisfying all the
  102.   distrubution requirements expressed in that data record
  103.   is hereby authrorized.

  105. DISCLAIMER OF WARRANTY
  106.  
  107. 13.   THIS SOFTWARE AND ITS ACCOMPANYING WRITTEN MATERIALS
  108.   ARE PROVIDED BY LICENSOR "AS IS" AND ANY EXPRESS OR IMPLIED
  109.   WARRANTIES, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED
  110.   WARRANTIES OF MERCHANTABILITY,  FITNESS FOR A PARTICULAR
  111.   PURPOSE, AND NON-INFRINGEMENT, ARE  DISCLAIMED.

  113. 14.  IN NO EVENT SHALL LICENSOR OR ITS SUPPLIERS BE LIABLE
  114.   FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR
  115.   CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO,
  116.   PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES; LOSS OF USE,
  117.   DATA, SAVINGS, OR PROFITS; OR BUSINESS INTERRUPTION) HOWEVER
  118.   CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN CONTRACT,
  119.   STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR
  120.   OTHERWISE) ARISING IN ANY WAY OUT OF THE USE OF THIS
  121.   SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.
  122.   Because some states do not allow the exclusion or limitation
  123.   of liability for consequential or incidental damages, the
  124.   above limitation may not apply to you.

  126. 15.  This Agreement is governed by the laws of the State of
  127.   Virginia.

  143. U.S. GOVERNMENT RESTRICTED RIGHTS
  144.  
  145. 17.  The Software and documentation are provided with
  146.   RESTRICTED RIGHTS. Use, duplication, or disclosure by the
  147.   Government is subject to restrictions set forth in
  148.   subparagraph (c)(1) of The Rights in Technical Data and
  149.   Computer Software clause at DFARS 252.227-7013 or
  150.   subparagraphs (c)(1)(ii) and (2) of Commercial Computer
  151.   Software - Restricted Rights at 48 CFR 52.227-19, as
  152.   applicable.
